Pre-suit letters

How to write a demand letter in the US, with a sample

Updated

Short answer: A demand letter states what happened, what you want and by when, and what you will do if nothing changes. Federal civil procedure does not generally require one before suing, since a case starts by filing a complaint, but some state laws and contracts do. Keep it factual, and never threaten criminal charges to win a civil dispute.

The law this relies on

Massachusetts ch. 93A

§ 9(3)

Consumer pre-suit demand.

Texas DTPA

Bus. & Com. Code § 17.505

Pre-suit notice for damages suits.

California CLRA

Civ. Code § 1782

Notice before a damages action.

Fair Debt Collection Practices Act

15 U.S.C. § 1692e

Bars false or misleading collection statements.

Federal Rule of Evidence 408

FRE 408

Limits use of settlement communications.

What is a demand letter for?

It gives the other side a clear chance to fix the problem before a lawsuit. It also records your position, gives notice, and can satisfy a statute or contract that requires notice first. In India this is usually called a legal notice; in the US, "demand letter" is the usual term.

When is notice required before suing?

Check your contract first, because many require written notice or a chance to cure. Then check the state. The examples below show how different these rules are, and they are not a full list.

Examples of state pre-suit notice rules
LawNotice periodWorth knowing
Massachusetts ch. 93A § 9(3)At least 30 daysMust identify the claimant, the act and the injury. A reasonable offer can limit recovery. Does not apply to § 11 business claims, and has other exceptions.
Texas DTPA § 17.505At least 60 daysApplies to damages suits. State the complaint and amounts in reasonable detail. The usual remedy for missing notice is abatement, not dismissal.
California CLRA § 178230 days or moreApplies to damages actions. Send by certified or registered mail, return receipt requested. Suits only for an injunction can start without it.

What should a demand letter include?

  • Your name and contact details, and the recipient’s correct legal name and address
  • A short, dated account of the facts
  • The contract clause, invoice or legal basis you rely on
  • The exact amount or action you want, and how you calculated it
  • A specific response deadline and how to pay or respond
  • What you intend to do next if the deadline passes, such as filing suit
  • Copies of key documents, not your only originals
  • A request to preserve relevant records, where litigation is likely

What should you leave out?

A demand letter that goes too far can create problems of its own. In Flatley v. Mauro, 39 Cal. 4th 299 (2006), a lawyer’s demand letter and calls were held to be extortion as a matter of law on those facts. Federal law also criminalizes certain interstate threats made with intent to extort (18 U.S.C. § 875(d)).

  • Threats to report the recipient to police, regulators or a licensing board unless they pay. California Rule 3.10 and Texas Rule 4.04(b) restrict this for lawyers, and other states have their own rules.
  • Threats to expose embarrassing information
  • Facts you cannot support, or amounts you cannot explain
  • Threats of action you do not actually intend to take
  • Insults and legal language that makes the letter harder to follow

Collecting a consumer debt?

The Fair Debt Collection Practices Act covers people whose principal business is collecting debts, or who regularly collect consumer debts owed to someone else, and that can include lawyers (Heintz v. Jenkins, 514 U.S. 291). It bars false or misleading statements (§ 1692e) and requires a validation notice with a 30-day dispute window (§ 1692g). Regulation F bars covered collectors from suing or threatening to sue on time-barred debt (12 C.F.R. § 1006.26(b)).

Original creditors collecting their own debts are generally outside the federal Act, but state law can still apply. If you collect consumer debts, get advice before using a template.

Does a demand letter stop the clock?

Assume it does not. A letter alone generally does not stop a limitations period unless a statute, a signed tolling agreement or estoppel applies, and the rules depend on the state. If the deadline is close, talk to a lawyer about filing or a tolling agreement rather than waiting for a reply.

Is a demand letter confidential?

Not automatically. Federal Rule of Evidence 408 bars using settlement offers to prove or disprove the validity or amount of a disputed claim, but such evidence can come in for other purposes, such as showing bias or undue delay. Labeling a letter "Rule 408" does not protect it if there is no real dispute. Write every letter expecting a judge may read it.

What happens after you send it?

Send it in a way you can prove, such as certified mail with return receipt, plus email if you normally use it. If you get a reply, consider negotiating or mediating, and put any settlement in writing. If you get no reply, decide whether to sue. For smaller claims, check your state court’s self-help pages for the current small claims limit, because these limits change.

If you need attorney’s fees on a Texas contract claim, note that Civil Practice & Remedies Code § 38.002 requires presentment and that payment was not tendered within 30 days, so the letter can matter later.

Frequently asked questions

Do I need a lawyer to send a demand letter?

Generally no, and many businesses send their own. A lawyer is worth considering for large claims, consumer debts, statutory notices or disputes with close limitation deadlines, and a lawyer’s letterhead may be taken more seriously.

How long should I give someone to respond?

There is no universal period. Use any period set by your contract or statute, such as the 30 or 60 days in the examples above. Otherwise, choose a time that is reasonable for the dispute, often 10 to 30 days.

What if I ignore a demand letter I received?

Ignoring it does not make the claim go away and may lead to a lawsuit. Check any deadline, keep relevant records, tell your insurer if coverage may apply, and consider asking a lawyer for advice.

Is a demand letter the same as a legal notice?

They serve a similar purpose. "Legal notice" is the common term in India, while "demand letter" is the usual US term. If you need the Indian format, see our legal notice formats.

This guide is general information, not legal advice, and using it does not create an attorney-client relationship. Laws vary by state and change often. Talk to a lawyer licensed in the relevant state before relying on it.
