Dispute Resolution Clause: Meaning, Sample & Drafting Tips (India)

A dispute resolution clause sets the path a disagreement must follow — usually negotiation between managers, then mediation, then arbitration or court. In India, a well-drafted tiered clause works with the Mediation Act, 2023, pre-institution mediation under the Commercial Courts Act, 2015 and the Arbitration and Conciliation Act, 1996.

How it works under Indian law

Section 12A of the Commercial Courts Act, 2015 requires pre-institution mediation before a commercial suit is filed unless urgent interim relief is sought. The Supreme Court has held this requirement to be mandatory (Patil Automation v Rakheja Engineers, 2022), so a court-based clause should anticipate it.

The Mediation Act, 2023 provides a statutory framework for mediation, including enforceability of mediated settlement agreements. Parties can agree to mediate under it, or before an institution, as a step before arbitration or litigation.

Whether pre-arbitral steps (negotiation, cooling-off periods) are mandatory or merely directory has been decided differently in different cases, often depending on the wording. Precise timelines and a clear statement of whether a step is a condition precedent help avoid a preliminary fight about the clause itself.

Drafting checklist

  • Define what counts as a Dispute and how it is formally notified.
  • Give each tier a clear timeline and named role (not a named person).
  • State whether each tier is a condition precedent to arbitration or litigation.
  • Name the mediation framework or institution.
  • Carve out urgent interim relief and limitation-sensitive claims.
  • Keep performance going during the dispute unless the contract has been terminated.

Sample dispute resolution clause

Two versions: a standard position and an alternative you can offer in negotiation. Replace every [placeholder] before use.

Standard tiered dispute resolution clause

Standard position
If any dispute arises out of or in connection with this Agreement (a "Dispute"), either Party may give the other a written notice describing it. Within [10] Business Days of that notice, the Parties' [project leads] shall meet (in person or virtually) to try to resolve the Dispute. If it is not resolved within [15] Business Days of the notice, it shall be escalated to [a director or senior officer] of each Party, who shall meet within a further [10] Business Days.

If the Dispute is not resolved within [30] days of the original notice, either Party may refer it to mediation under [the Mediation Act, 2023 / the rules of named institution]. If it is not resolved within [60] days of referral to mediation, either Party may refer it to arbitration under Clause [Arbitration]. Nothing in this Clause prevents a Party from seeking urgent interim relief at any time.

Short form (expert determination for technical disputes)

Balanced — fast route for technical or valuation disputes
Any Dispute relating solely to [technical specifications / the calculation of Fees or service credits] shall, at the request of either Party, be referred to an independent expert with relevant qualifications agreed by the Parties (or, failing agreement within [10] days, nominated by [named professional body]). The expert shall act as an expert and not as an arbitrator, shall decide within [30] days of appointment, and the decision shall be final and binding on the Parties save in case of fraud or manifest error. The expert's fees shall be borne equally unless the expert decides otherwise. All other Disputes shall be resolved under Clause [Arbitration].

Who pushes for what

Typical negotiating positions on each side of the table.

Party more likely to be the claimant

Wants short tiers (or none) so it can reach arbitration or court quickly.

Party more likely to be the respondent

Wants longer negotiation and mediation windows before formal proceedings.

Common middle ground

Two short escalation tiers totalling 30 days, mediation for 60 days, interim relief always preserved.

Common mistakes

  • Vague "the parties shall try to resolve amicably" wording with no timeline, which produces arguments about whether arbitration was premature.
  • Escalation tiers that can run past the limitation period for a claim.
  • Different tiers in the master agreement and statements of work.
  • Forgetting section 12A pre-institution mediation in a court-based commercial contract.

Frequently asked questions

Is pre-litigation mediation mandatory in India?

For commercial disputes covered by the Commercial Courts Act, 2015, section 12A requires pre-institution mediation unless the suit seeks urgent interim relief, and the Supreme Court has held this to be mandatory.

Can I skip the escalation steps and go straight to arbitration?

It depends on the wording and the facts. Some courts and tribunals treat clearly worded pre-arbitral steps as mandatory; others treat them as directory. If the clause says the steps are a condition precedent, follow them or document why they were futile.

What is the difference between mediation and arbitration?

A mediator helps the parties reach their own settlement and cannot impose a decision. An arbitrator decides the dispute and issues a binding award enforceable like a court decree.
