How this is calculated
The expiry date is the contract start date plus the term you enter (in months or years, calendar-accurate — e.g. a 12-month term from 15 January runs to 15 January the following year). The renewal-notice deadline is the expiry date minus the notice period your contract specifies — the last day by which a renewal, termination or "intent to negotiate" notice must be sent under most Indian commercial contracts' notice clauses. Days remaining for both dates are counted from today.
- Expiry date = start date + term (months/years).
- Renewal-notice deadline = expiry date − notice period (days).
- If today is past the renewal-notice deadline, the tool flags it so you can check for auto-renewal, cure periods or a fresh negotiation.
Sources & legal basis
- Indian Contract Act, 1872 — general principles of contract formation, term and termination.
- The specific renewal, auto-renewal, termination and notice clauses of your contract — these vary by agreement and govern the actual deadline.
This calculator applies simple calendar arithmetic to the dates and notice period you enter. It cannot read your actual contract clause — auto-renewal terms, cure periods, business-day conventions or notice-delivery requirements can all change the real deadline. Confirm against the signed agreement with an advocate.
Frequently asked questions
The expiry date is the contract start date plus the term you enter, in calendar months or years — for example a 12-month term starting 15 January expires on 15 January the following year.
Many commercial contracts require a party to give written notice a set number of days before expiry if they want to renew, terminate, or renegotiate. Missing that window can trigger an unwanted auto-renewal or loss of the right to renew on the same terms.
Check your contract for an auto-renewal clause, a cure/grace period, or a notice-waiver provision — some agreements still allow late notice with the other party's consent. This tool only flags the date; the contract terms decide the consequence.
